Our Real Estate Department advises a wide variety of clients in connection with
the acquisition, development, use, sale and financing of real estate. We represent
real estate developers, owners, financiers and investors in a variety of real estate
projects, including commercial office buildings, retail shopping centers, residential
developments, institutional campuses, and mixed residential/recreational/commercial
developments.

Real Estate Transactions
Our attorneys represent buyers and sellers in the purchase and sale of developed
and undeveloped real property. Our services include the drafting and negotiation
of letters of intent and purchase and sale agreements; drafting and negotiation
of broker's commission and listing agreements; title review and analysis; assistance
in due diligence and analysis of property to be acquired; and all other matters
necessary to take a transaction from a proposal to a closing. Our attorneys also
have substantial experience in structuring 1031 tax deferred exchanges.

Land
Use and Entitlement. Our Firm’s land use practice encompasses the development,
from initial subdivision through sale, of large, master-planned, mixed-use development
communities. Our attorneys have assisted clients with applications for tentative
maps, development and participation agreements, specific plans and zoning changes.
The attorneys have appeared on behalf of clients seeking subdivision approval, zoning
changes, permits, authorizations and agreements from city councils, county boards
of supervisors, planning commissions, public works commissions, zoning administrators,
boards of zoning appeal.

in the courts, our law firm understands the need for creative solutions to disputes
concerning real property. Our lawyers have been involved in the successful resolution
of disputes covering the breadth of real property law, including disputes pertaining
to construction defects and liens, zoning and land use issues, title and escrow
services, property tax valuations, slander of title claims, mortgage foreclosures,
